Terms of Service

1. Acceptance of terms
By creating an account or using Cal2Bill in any way, you agree to these Terms of Service. If you do not agree, you must not use the service. These terms form a binding agreement between you and ITontheSpot, the operator of Cal2Bill, based in Ontario, Canada.
2. What Cal2Bill does
Cal2Bill reads calendar events from your connected Microsoft Outlook or Microsoft 365 account and, at your explicit direction, creates draft invoice line items in your connected Zoho Books account. No invoice is created, modified, or sent without your review and confirmation through the Cal2Bill preview interface.
Cal2Bill does not store finalized invoice contents or client names in its own systems. All invoice data is processed transiently to generate drafts and is stored only in your connected accounts (for example, Zoho Books). Cal2Bill is a tool that helps you prepare invoices. It does not provide accounting, legal, or financial advice. You remain responsible for the accuracy, completeness, and legality of all invoices you issue to your clients.
3. Your responsibilities
You are responsible for:
- Setting up your billing rates, billing types, and calendar categories correctly in Cal2Bill
- Reviewing the invoice preview carefully before confirming — once you confirm, line items are written to your Zoho Books account
- Verifying all invoice amounts, descriptions, and client details before sending any invoice to a client
- Keeping your calendar entries in Outlook accurate and consistent, including correct event titles, categories, and times
- Ensuring your use of Cal2Bill complies with all applicable laws and regulations in your jurisdiction
- Keeping your login credentials secure and notifying us promptly of any unauthorized access
Because Cal2Bill does not store finalized invoice contents or client names in its own systems, you must still ensure your connected accounts and any data you review in-app comply with your own privacy and contractual obligations.
4. Limitation of liability
To the fullest extent permitted by applicable law, ITontheSpot and Cal2Bill will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to:
- Incorrect invoice amounts due to misconfigured billing rates, incorrect calendar entries, or user error
- Financial loss arising from invoices created, sent, or not sent using Cal2Bill
- Loss of billing, calendar, or account data
- Service interruptions caused by issues with third-party APIs, including Microsoft Graph API, Zoho Books API, Stripe, or Cloudflare
- Errors or omissions in invoice line items from incomplete, inaccurate, or inconsistently formatted calendar events
- Any damages from relying on Cal2Bill as a substitute for professional accounting or financial advice
Cal2Bill requires you to review each invoice draft before it is written to your Zoho Books account. Your confirmation of that draft means you accept its contents as based on your configured settings, source calendar data, and user-approved content. ITontheSpot is not liable for invoices confirmed and sent to clients on that basis.
In any case, ITontheSpot's total liability to you for any claim under these terms will not exceed the greater of the amount you paid for the service in the three months before the claim or CAD $50.
5. No warranty
Cal2Bill is provided "as is" and "as available," with no warranty of any kind, express or implied. We do not guarantee that the service will be uninterrupted, error-free, or free of bugs, viruses, or other harmful components. We also do not guarantee that the service will meet your specific requirements or produce any particular billing result.
6. Third-party services and API dependency
Cal2Bill depends on third-party APIs, including those operated by Microsoft, Zoho Books, Stripe, and Cloudflare. These services are outside our control. We are not responsible for outages, changes, or discontinuation of any third-party API that affects Cal2Bill's functionality, but we will make reasonable efforts to adapt to API changes. Your use of Microsoft, Zoho Books, and Stripe through Cal2Bill remains subject to those providers' own terms of service and privacy policies.
7. Subscription, billing, taxes, and trial
Cal2Bill is offered on a subscription basis at the rates shown on cal2bill.com at the time of signup. A 15-day free trial is available with no credit card required. Subscriptions are billed through Stripe. You may cancel at any time in the billing portal inside Cal2Bill; cancellation takes effect at the end of your current billing period.
Subscription prices are exclusive of applicable taxes. Where required by law, GST, HST, QST, or other applicable taxes will be added to your invoice at the prevailing rate for your jurisdiction. You are responsible for any taxes applicable to your subscription.
Subscription fees are non-refundable except where required by applicable law. No refunds or credits are issued for partial billing periods. If a payment fails, we may send a notice and suspend access to the service after a reasonable grace period if the outstanding amount is not resolved.
We may change pricing with reasonable notice. Existing subscribers will be notified by email before any price change applies.
Beta access, promotional credits, and promo codes are offered at our discretion and may be changed or removed at any time. Beta testers receive free access in exchange for honest feedback and may be invited to provide a testimonial; participation is voluntary.
8. Data privacy and personal information
We collect, use, disclose, and retain personal information as described in our Privacy Policy, which is incorporated into these Terms. By using Cal2Bill, you agree to that Privacy Policy and to the way we handle your personal information.
You are responsible for making sure you have the authority to connect any Microsoft, Zoho Books, Stripe, or other third-party accounts you link to Cal2Bill, and that you have obtained any notices, permissions, and consents required to provide personal information to the Service.
Cal2Bill does not store finalized invoice contents or client names in its own systems. All invoice data is stored only in your connected accounts (for example, Zoho Books). We use reasonable safeguards to protect the limited personal information we do handle. No method of transmission or electronic storage is completely secure, and we cannot guarantee absolute security. If we become aware of a breach involving personal information under our control, we will assess the incident and, where required by law, notify affected individuals and relevant authorities.
9. Acceptable use
You agree not to use Cal2Bill to:
- Create fraudulent, false, or misleading invoices
- Violate any applicable law or regulation
- Reverse engineer, copy, or resell the service
- Interfere with or disrupt the service or its infrastructure
- Share your account credentials with others or allow more than one individual to use a single account
- Access the service through automated or scripted means beyond normal use of the application
We may suspend or terminate accounts that violate these terms without notice or refund.
10. Termination and suspension
Either party may terminate these terms at any time. You may terminate by cancelling your subscription and deleting your account. We may suspend or terminate your access immediately and without notice if:
- You breach these terms or our acceptable use policy
- Your payment remains outstanding after a reasonable notice period
- We are required to do so by law or regulatory authority
- Continuing to provide the service would expose us to legal or security risk
- A critical third-party API or vendor dependency becomes unavailable and no reasonable alternative exists
On termination, your right to use the service ends immediately. Your data is retained for up to 90 days after termination to allow reactivation or data retrieval, then permanently deleted, unless a longer retention period is required by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless ITontheSpot and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: your use of the service; your violation of these terms; any invoices you create, confirm, or send using Cal2Bill; your violation of any third-party rights, including privacy, intellectual property, or contractual rights; or your breach of any applicable law or regulation.
12. Intellectual property
Cal2Bill, including its code, design, branding, and content, is the intellectual property of ITontheSpot. Nothing in these terms gives you any ownership interest in Cal2Bill. Your subscription grants you a limited, non-exclusive, non-transferable right to use the service for your own business purposes.
13. Changes to these terms
We may update these terms from time to time. If we make material changes, we will notify active subscribers by email at least 14 days before the changes take effect. If you continue to use Cal2Bill after the changes apply, you accept the updated terms. If you do not agree, you may cancel your subscription before the effective date.
14. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
